Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the LaneFare platform, operated by Novarclabs (“we”, “us”, or “our”). By creating an account or using the service, you agree to be bound by these Terms. If you are accepting these Terms on behalf of an organization, you represent that you have the authority to bind that organization.

1. The Service

LaneFare is a software-as-a-service platform that provides fleet management tools for professional chauffeur and limousine operators. The service includes ride dispatch and management, client and driver administration, vehicle tracking, pricing and fare calculation, invoicing, partner ride forwarding, API access, and an embeddable booking widget.

LaneFare is an operational tool. We do not provide transportation services, employ drivers, or assume any responsibility for the rides managed through the platform. You are solely responsible for your operations, your compliance with local transportation regulations, and the service you provide to your clients.

2. Accounts and Access

To use LaneFare, you must create an account and an organization. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. You must provide accurate and complete information during registration and keep it current.

Organization administrators can invite team members and assign roles (administrator, operator, or driver). The account holder is responsible for the actions of all users within their organization.

You must be at least 18 years old to create an account. One person may not maintain more than one account.

3. Subscriptions and Billing

Free Trial

New organizations receive a 14-day free trial with full access to platform features. No credit card is required to start. At the end of the trial period, you must select a paid plan to continue using the service.

Paid Plans

LaneFare offers tiered subscription plans (Starter, Professional, and Enterprise) billed monthly. Plan details, pricing, and feature limits are described on our pricing page and may be updated from time to time. Changes to pricing will be communicated at least 30 days in advance.

Payment

Payments are processed through Stripe. By subscribing, you authorize us to charge your payment method on a recurring monthly basis. You are responsible for keeping your payment information current. Failed payments may result in service suspension.

Upgrades and Downgrades

You may change your plan at any time from your billing settings. Upgrades take effect immediately with prorated billing. Downgrades take effect at the start of the next billing cycle. If a downgrade reduces your plan limits below your current usage, you are responsible for adjusting your usage accordingly.

Cancellation

You may cancel your subscription at any time through the billing portal. Cancellation takes effect at the end of the current billing period. No refunds are provided for partial months. Upon cancellation, your access will continue until the end of the paid period, after which your account will be downgraded to read-only access for 30 days before data deletion.

4. Your Data

You retain full ownership of all data you enter into LaneFare, including client records, ride data, vehicle information, driver profiles, pricing rules, and invoices. We do not claim any intellectual property rights over your data.

You grant us a limited license to host, process, and display your data solely to provide the service. This license terminates when you delete your data or close your account.

You are responsible for the accuracy and legality of the data you enter. You must have the necessary consents to store personal information about your clients, drivers, and team members in the platform, including GPS location data.

5. Partner Network

LaneFare enables organizations to forward rides to partner operators. When you initiate a partnership or forward a ride, you are sharing operational data with another independent organization on the platform. We facilitate this exchange but are not a party to any agreement between you and your partners.

You are solely responsible for vetting your partners, setting markup percentages, and settling payments between organizations. LaneFare does not mediate disputes between partner organizations.

6. API and Integrations

LaneFare provides API access and an embeddable booking widget for integration with your own systems and websites. You are responsible for the security of your API keys and for any activity conducted through them. API keys should be treated as sensitive credentials and must not be exposed in client-side code or public repositories.

We enforce rate limits on API usage as specified in your plan. Abuse of the API, including attempts to circumvent rate limits, may result in key revocation or account suspension.

7. Acceptable Use

You agree not to:

• Use the service for any unlawful purpose or in violation of local transportation regulations
• Attempt to gain unauthorized access to other organizations’ data or accounts
• Reverse engineer, decompile, or attempt to extract the source code of the platform
• Interfere with or disrupt the integrity or performance of the service
• Use the platform to store or transmit malicious code
• Resell access to the platform without our written consent

8. Intellectual Property

The LaneFare platform, including its design, code, features, documentation, and branding, is the property of Novarclabs and is protected by applicable intellectual property laws. These Terms do not grant you any rights to our trademarks, logos, or brand identity.

You may use the LaneFare name and logo solely to identify your use of the platform (for example, “Powered by LaneFare” on your booking widget). Any other use requires our prior written consent.

9. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access to the platform. We may perform scheduled maintenance with reasonable advance notice. We are not liable for any downtime, data loss, or service interruptions caused by factors beyond our reasonable control.

10. Limitation of Liability

To the maximum extent permitted by applicable law, Novarclabs shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, or business opportunities, arising out of or related to your use of the service.

Our total cumulative liability to you for any claims arising from or related to these Terms or the service shall not exceed the amount you paid us in the twelve months preceding the claim.

LaneFare is a fleet management tool. We are not responsible for the outcome of any ride, the conduct of any driver, or the satisfaction of any end client. You assume all risk and liability for the transportation services you operate using the platform.

11. Indemnification

You agree to indemnify and hold harmless Novarclabs, its officers, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the platform, your violation of these Terms, or your violation of any third-party rights.

12. Termination

We may suspend or terminate your access to the platform if you violate these Terms, fail to pay subscription fees, or engage in activity that we reasonably believe harms the service or other users. We will provide notice where practicable.

Upon termination, your right to use the service ceases immediately. We will retain your data for 30 days following termination to allow for export, after which it will be deleted in accordance with our Privacy Policy.

13. Changes to These Terms

We may modify these Terms at any time. Material changes will be communicated through the platform or by email at least 30 days before taking effect. Continued use of the service after changes become effective constitutes acceptance. If you do not agree to updated Terms, you must discontinue use and cancel your subscription.

14. Governing Law

These Terms are governed by and construed in accordance with the laws of Romania. Any disputes arising from these Terms or the service shall be subject to the exclusive jurisdiction of the courts of Bucharest, Romania.

15. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
